DATA PROCESSING AGREEMENT This Agreement is dated [ ] and made between (1) The ԭ a body corporate incorporated by Royal Charter and registered with number RC000664, of University Park, Nottingham NG7 2RD (the University) and (2) X [full company name] incorporated and registered in England and Wales with company number [ ] whose registered office is at [registered office address] (the Supplier) Definitions Commencement Date: [ ] Confidential Information: all confidential information (however recorded or preserved) disclosed by a party or its employees, officers, representatives, advisers or subcontractors involved in the provision, processing or receipt of the Personal Data who need to know the confidential information in question, which is either labelled as such or else which should reasonably be considered as confidential because of its nature and the manner of its disclosure. Controller, Processor, Data Subject, Personal Data, Personal Data Breach, Data Protection Officer take the meaning given in the GDPR; Data Loss Event means any event that results, or may result, in unauthorised access to Personal Data held by the Supplier under this Agreement, and/or actual or potential loss and/or destruction of Personal Data in breach of this Agreement, including any Personal Data Breach; Data Processing Particulars means those particulars as set out in Schedule 1; Data Protection Legislation means until 23.59 on 24 May 2018 the Data Protection Act 1998 and thereafter (i) the GDPR, the LED and any applicable national implementing laws as amended from time to time (ii) the DPA 2018 subject to Royal Assent to the extent that it relates to processing of personal data and privacy; (iii) all applicable law about the processing of personal data and privacy; Data Protection Impact Assessment means an assessment by the Controller of the impact of the envisaged processing on the protection of Personal Data; Data Subject Access Request means a request made by, or on behalf of, a Data Subject in accordance with rights granted pursuant to the Data Protection Legislation to access their Personal Data; DPA 2018 means the Data Protection Act 2018; GDPR means the General Data Protection Regulation (Regulation (EU) 2016/679); Initial Period: a period of [12] months commencing on the Commencement Date Intellectual Property Rights: patents, utility models, rights to inventions, copyright and neighbouring and related rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world. LED means the Law Enforcement Directive (Directive (EU) 2016/680); Protective Measures means appropriate technical and organisational measures which may include: pseudonymising and encrypting Personal Data, ensuring confidentiality, integrity, availability and resilience of systems and services, ensuring that availability of and access to Personal Data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the such measures adopted by it; Processing and Process: take the meaning given in the GDPR; Regulatory Body means those government departments and regulatory, statutory and other entities, committees and bodies which, whether under statute, rules, regulations, codes of practice or otherwise, are entitled by any Applicable Law to supervise, regulate, investigate or influence the matters dealt with in this Agreement, or any other affairs of the University; Sub-processor means any third party appointed to process Personal Data on behalf of the Supplier related to this Agreement; Supplier Personnel means all directors, officers, employees, agents, consultants and contractors of the Supplier and/or of any Sub-processor engaged in the performance; Renewal Period: each successive [12]-month period after the Initial Period for which this Agreement is renewed. Term: the Initial Period and any Renewal Periods. General The parties acknowledge that for the purposes of the Data Protection Legislation, the University is the Controller and the Supplier is the Processor. The only processing that the Supplier is authorised to do is listed in Schedule 1 by the University and may not be determined by the Supplier. The parties acknowledge and agree that Schedule 1 is an accurate description of the Data Processing Particulars. Nothing in this Agreement relieves the Supplier of its own direct responsibilities and liabilities under the Data Protection Legislation. Each party shall make due notification to any relevant Regulator. Obligations of the Supplier The Supplier shall notify the University immediately if it considers that any of the University's instructions infringe the Data Protection Legislation. The Supplier shall provide all reasonable assistance to the University in the preparation of any Data Protection Impact Assessment prior to commencing any processing. The Supplier shall, in relation to any Personal Data processed in connection with its obligations under this Agreement: (a) process that Personal Data only in accordance with Schedule 1, unless the Supplier is required to do otherwise by law. If it is so required the Supplier shall promptly notify the University before processing the Personal Data unless prohibited by law; (b) ensure that it has in place Protective Measures, which have been reviewed by the University as appropriate to protect against a Data Loss Event having taken account of the: (i) nature of the data to be protected; (ii) harm that might result from a Data Loss Event; (iii) state of technological development; and (iv) cost of implementing any measures; (c) [comply with the security measures set out in Schedule 2] [Not Used] (d) promptly restore any Personal Data at its own expense where a Data Loss Event occurs or if any Personal Data is lost or destroyed or becomes damaged, corrupt or unusable; (e) comply with UK and EU legislation relating to data protection and Personal Data, including but not limited to the Data Protection Legislation; (f) keep a record of any Processing of the Personal Data it carries out on behalf of the University; (g) ensure that: (i) the Supplier Personnel do not process Personal Data except in accordance with this Agreement (and in particular Schedule 1); (ii) it takes all reasonable steps to ensure the reliability and integrity of any Supplier Personnel who have access to the Personal Data and ensure that they: (aa) are aware of and comply with the Suppliers duties under this Agreement; (bb) are subject to appropriate confidentiality undertakings with the Supplier or any Sub-processor; (cc) are informed of the confidential nature of the Personal Data and do not publish, disclose or divulge any of the Personal Data to any third party unless directed in writing to do so by the University or as otherwise permitted by this Agreement; and (dd) have undergone adequate training in the use, care, protection and handling of Personal Data. (h) not transfer Personal Data outside of the EEA unless the prior written consent of the University has been obtained and the following conditions are fulfilled: (i) the University or the Supplier has provided appropriate safeguards in relation to the transfer (whether in accordance with GDPR Article 46 or LED Article 37) as determined by the University; (ii) the Data Subject has enforceable rights and effective legal remedies; (iii) the Supplier complies with its obligations under the Data Protection Legislation by providing an adequate level of protection to any Personal Data that is transferred (or, if it is not so bound, uses its best endeavours to assist the University in meeting its obligations); and (iv) the Supplier complies with any reasonable instructions notified to it by the University with respect to the processing of the Personal Data; (i) at the written direction of the University, cease processing of all Personal Data and permanently delete and/or destroy or return Personal Data (and any copies of it) to the University on termination of the Agreement unless the Supplier is required by law to retain the Personal Data. The Supplier shall certify to the University that it has taken such action to the University if requested. (j) Promptly comply with any request from the University to amend, transfer or delete any Personal Data. Subject to Clause 8, the Supplier shall notify the University immediately if it: (i) receives a Data Subject Access Request (or purported Data Subject Access Request); (ii) receives a request to rectify, block or erase any Personal Data; (iii) receives any other request, complaint or communication relating to either party's obligations under the Data Protection Legislation; (iv) receives any communication from the Information Commissioner or any other regulatory authority in connection with Personal Data processed under this Agreement; (v) receives a request from any third party for disclosure of Personal Data where compliance with such request is required or purported to be required by law; or (vi) becomes aware of a Data Loss Event. The Suppliers obligation to notify under Clause 7 shall include the provision of further information to the University in phases, as details become available. Taking into account the nature of the processing, the Supplier shall provide the University with full assistance in relation to either party's obligations under Data Protection Legislation and any complaint, communication or request made under Clause 7 (and insofar as possible within the timescales reasonably required by the University) including by promptly providing: (i) the University with full details and copies of the complaint, communication or request; (ii) such assistance as is reasonably requested by the University to enable the University to comply with a Data Subject Access Request within the relevant timescales set out in the Data Protection Legislation; (ii) the University, at its request, with any Personal Data it holds in relation to a Data Subject; (iii) assistance as requested by the University following any Data Loss Event; (iv) assistance as requested by the University with respect to any request from the Information Commissioners Office, or any consultation by the University with the Information Commissioner's Office. The Supplier shall maintain complete and accurate records and information to demonstrate its compliance with this Agreement. The Supplier shall allow for audits of its Data Processing activity by the University or the Universitys designated auditor and provide reasonable information, documentation, assistance and co-operation to the University, including access to relevant Supplier Personnel and/ or, on the request of the University, provide to the University written evidence of its compliance with the requirements of this Agreement. The Supplier shall designate a data protection officer if required by the Data Protection Legislation. Before allowing any Sub-processor to process any Personal Data related to this Agreement, the Supplier must: (i) notify the University in writing of the intended Sub-processor and processing; (ii) obtain the written consent of the University; (iii) enter into a written agreement with the Sub-processor which gives effect to the terms set out in this Agreement such that they apply to the Sub-processor; and (iv) provide the University with such information regarding the Sub-processor as the University may reasonably require. The Supplier shall remain fully liable for all acts or omissions of any Sub-processor. Term and Termination 15.1 This Agreement shall commence on the Commencement Date and shall remain in force for the Initial Period, unless terminated earlier in accordance with clause 15.2. The Term shall automatically be extended for a Renewal Period at the end of the Initial Period and at the end of each Renewal Period, unless a party gives written notice to the other party, not later than [60] days before the end of the Initial Period or the relevant Renewal Period, to terminate this Agreement. 15.2 Without prejudice to any rights that have accrued under this agreement or any of its rights or remedies, the University may terminate this agreement with immediate effect by giving written notice to the Supplier or if: the Supplier commits a material breach of any term of this agreement and (if that breach is remediable) fails to remedy that breach within a period of [14] days after being notified by the University in writing to do so; the Supplier: suspends, or threatens to suspend, payment of its debts; is unable to pay its debts as they fall due or admits inability to pay its debts; (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986; (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986; or (being a partnership) has any partner to whom any of clause 15.2(b)(i) to clause 15.2(b)(iv) apply; the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors other than (in the case of a company) for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Suppler; a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier; an application is made to court, or an order is made, for the appointment of an administrator, or if a notice of intention to appoint an administrator is given or if an administrator is appointed, over the Supplier (being a company); the holder of a qualifying floating charge over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver; a person becomes entitled to appoint a receiver over the assets of the Supplier or a receiver is appointed over the assets of the Supplier; a creditor or encumbrancer of the Supplier or attaches or takes possession of, or a distress, execution, sequestration or other similar process is levied or enforced on or sued against, the whole or any part of the Suppliers assets and that attachment or process is not discharged within 14 days; any event occurs or proceeding is taken with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 15.5(b) to clause 15.2(h) (inclusive); the Supplier suspends or ceases, or threatens to suspend or cease, carrying on all or a substantial part of its business; or there is a change of control of the Supplier (within the meaning of section 1124 of the Corporation Tax Act 2010). 15.3 Any provision of this Agreement that expressly or by implication is intended to come into or continue in force on or after termination of this Agreement shall remain in full force and effect. 15.4 Termination of this Agreement, for any reason, shall not affect the accrued rights, remedies, obligations or liabilities of the parties existing at termination. 15.5 On any termination of this Agreement for any reason or expiry of the Term: (a) the Supplier shall as soon as reasonably practicable return or destroy (as directed in writing by the University) all Personal Data, information, software, and other materials provided to it by the University in connection with this Agreement including all materials containing or based on the University's confidential information; (b) if the University elects for destruction rather than return of the materials under clause 15.5(a) the Supplier shall as soon as reasonably practicable ensure that all relevant Personal Data is deleted from its system; and 15.6 If the University elects for return rather than destruction of the materials under clause 15.5 (a) and the Supplier receives, no later than ten days after the effective date of the termination or expiry of this Agreement, a written request for the delivery to the University of the most recent back-up of the Personal Data, the Supplier shall use reasonable commercial efforts to fulfil such request within 30 days of its receipt. 15.7 On any termination of this Agreement for any reason or expiry of the Term, the Supplier shall refund any charges for the relevant accounting period paid by the University as at the date of termination or expiry. Confidentiality 16.1 The Supplier acknowledges that the Universitys Confidential Information includes any Personal Data. 16.2 The term Confidential Information does not include any information that: (a) is or becomes generally available to the public (other than as a result of its disclosure by the receiving party or its representatives in breach of this clause 16); (b) was available to the receiving party on a non-confidential basis before disclosure by the disclosing party; (c) was, is, or becomes, available to the receiving party on a non-confidential basis from a person who, to the receiving party's knowledge, is not bound by a confidentiality agreement with the disclosing party or otherwise prohibited from disclosing the information to the receiving party; (d) was known to the receiving party before the information was disclosed to it by the disclosing party; (e) the parties agree in writing is not confidential or may be disclosed; or (f) is developed by or for the receiving party independently of the information disclosed by the disclosing party. 16.3 Each party shall keep the other party's Confidential Information confidential and shall not: (a) use any Confidential Information except for the purpose as set out in Schedule 1; or (b) disclose any Confidential Information in whole or in part to any third party, except as expressly permitted by this clause 16. 16.4 A party may disclose the other party's Confidential Information to those of its representatives who need to know that Confidential Information for the purpose as set out in Schedule 1, provided that: (a) it informs those representatives of the confidential nature of the Confidential Information before disclosure; and (b) at all times, it is responsible for the representatives' compliance with the confidentiality obligations set out in this clause 16. 16.5 A party may disclose Confidential Information to the extent required by law, by any governmental or other regulatory authority, or by a court or other authority of competent jurisdiction provided that, as far as it is legally permitted to do so, it gives the other party as much notice of the disclosure as possible. 16.6 Each party reserves all rights in its Confidential Information. No rights or obligations in respect of a party's Confidential Information, other than those expressly stated in this Agreement, are granted to the other party, or are to be implied from this Agreement. 16.7 The provisions of this clause 16 shall continue to apply after termination of this agreement. Intellectual Property Rights 17.1 The parties acknowledge that: (a) all Intellectual Property Rights in the Personal Data are and will remain the property of the University or its licensors, as the case may be; and (b) the Supplier shall have no rights in or to the Personal Data other than the right to use it for the purpose set out in Schedule 1 in accordance with this Agreement; 17.2 The Supplier assigns to the University, and shall assign to it, its Intellectual Property Rights in any processed Personal Data it may create under this Agreement, by way of future assignment, subject always to clause 17.1(b). The Supplier shall execute such confirmatory assignments as the University may require. 17.3 The Intellectual Property Rights assigned to the University under clause 17.2 shall be deemed to be included in the right to use referred to in clause 17.1(b) from the date when such rights arise. Indemnity and Insurance 18.1 The Supplier shall indemnify and keep indemnified and defend at its own expense the University against all costs, claims, damages or expenses incurred by the University or for which the University may become liable due to any failure by the Supplier and/or any Supplier Personnel to comply with any of its obligations under this Agreement and/or under the Data Protection Legislation. 18.2 The Supplier shall indemnify on demand and keep indemnified the University from and against any (i) monetary penalties or fines levied by any Regulatory Body and (ii) the costs of an investigative, corrective or compensatory action required by any Regulatory Body, or of defending proposed or actual enforcement taken by any Regulatory Body on the University to the extent arising as a result of a breach by the Supplier (or its sub-processors) of this Agreement and/ or their respective obligations under the Data Protection Legislation. 18.3 To the extent available the Supplier shall take out insurance sufficient to cover any payment that may be required under this clause 18 and produce the policy and receipt for premium paid, to the University on request. The parties agree that the terms of any insurance and/or the amount of any cover shall not relieve the Processor of any liabilities arising under this Agreement. Assignment 19.1 This Agreement is personal to each party and neither party shall assign, transfer, mortgage, charge, subcontract, declare a trust of or deal in any other manner with any of its rights and obligations under this Agreement without the prior written consent of the other party (which is not to be unreasonably withheld or delayed). 19.2 Each party confirms it is acting on its own behalf and not for the benefit of any other person. Waiver 20.1 No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. Rights and Remedies 21.1 Except as expressly provided in this Agreement, the rights and remedies provided under this Agreement are in addition to, and not exclusive of, any rights or remedies provided by law. Notice 22.1 Any notice or other communication given to a party under or in connection with this contract shall be in writing and shall be: (a) delivered by hand or by pre-paid first-class post or other next working day delivery service at its registered office (if a company) or its principal place of business (in any other case); or (b) sent by fax to its main fax number. 22.2 Any notice or communication shall be deemed to have been received: (a) if delivered by hand, on signature of a delivery receipt ; (b) if sent by fax, at 9.00 am on the next business day after transmission; or (c) otherwise at 9.00 am on the second business day after posting or at the time recorded by the delivery service. 22.3 This does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution. For the purposes of this clause, writing shall not include e-mail. Variation 23.1 Except as expressly provided in this Agreement, no variation of this Agreement shall be effective unless it is in writing and signed by the parties (or their authorised representatives). Severance 24.1 If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this Agreement. 24.2 If any provision or part-provision of this Agreement is invalid, illegal or unenforceable, the parties shall negotiate in good faith to amend such provision so that, as amended, it is legal, valid and enforceable, and, to the greatest extent possible, achieves the intended commercial result of the original provision. Changes resulting from developments and standards 25.1 The University may, at any time on not less than 30 Working Days notice, revise this Agreement by replacing it with any applicable controller to processor standard clauses or similar terms forming part of an applicable certification scheme (which shall apply when incorporated by attachment to this Agreement). 25.2 The parties agree to take account of any guidance issued by the Information Commissioners Office. The University may on not less than 30 Working Days notice to the Supplier amend this Agreement to ensure that it complies with any guidance issued by the Information Commissioners Office. No Partnership or Agency 26.1 Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party. Third Party Rights 27.1 A person who is not a party to this Agreement shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement. This does not affect any right or remedy of a third party which exists, or is available, apart from that Act. 27.2 The rights of the parties to terminate, rescind or agree any variation, waiver or settlement under this Agreement are not subject to the consent of any other person. Governing Law and Jurisdiction 28.1 This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. 28.2 The parties irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims). Schedule 1 DATA PROCESSING PARTICULARS The subject matter and duration of the ProcessingThe nature and purpose of the ProcessingThe type of Personal Data being ProcessedThe categories of Data Subjects Schedule 2 Security Measures General The Supplier agrees to apply appropriate security measures, commensurate with the requirements of the Data Protection Legislation to the Personal Data. In particular, the Supplier shall ensure that measures are in place to do everything reasonable to: make accidental compromise or damage unlikely during storage, handling, use, processing, transmission or transport deter deliberate compromise or opportunist attack, and promote discretion in order to avoid unauthorised access. The University reserves the right to undertake a review of security provided by the Supplier and may request access to the Suppliers premises for this purpose. Failure by the Supplier to demonstrate to the Universitys satisfaction, adequate security measures may result in the termination of this Agreement in accordance with clause 15.2. The Supplier shall store the Personal Data securely whilst it is being processed and when it is not in use. This requirement applies to the Personal Data both in electronic and paper formats and to any discs, CD Roms, or tapes containing the Personal Data. The Supplier agrees not to use the services of any Sub-processors in connection with the Processing of the Personal Data without the prior written consent of the University in accordance with clause 13 of this Agreement. Specific  This should be the date when the last party signs this Agreement. The Agreement must be signed before data processing takes place. If putting into place in retrospect then you should contact the Governance and Information Compliance Team.  This must be the legal entity of the organisation, eg a limited company. The Supplier should be able to confirm with you their legal entity and registered address. It is imperative that you get right these details otherwise you may be unable to enforce any of the obligations in this Agreement and may fall foul of the duties of the Data Controller under the Data Protection Legislation.  This should be the date on which the obligations in this Agreement come into effect.  Amend as necessary and please also consider clause 15 regarding termination  Consider what is an acceptable period of notice and amend as necessary. Note also the requirement to give notice to terminate otherwise the Agreement shall automatically renew.  Consider what is reasonable and amend as necessary. Note also that unless the [14] days written notice is given (where a beach can be remedied), the University will not be entitled to terminate for breach by the Supplier.  Note the requirements when serving any notice to ensure valid service. The subject matter and duration of the Processing The subject matter of the Processing is the Processing of Personal Data in relation to the Universitys employees. The Supplier will Process the Personal Data in relation to University employees, in respect of which the University is the Controller, in providing the payroll services to the University. The Supplier will Process the Personal Data for the duration of this Agreement or as otherwise specified in the data protection provisions.The nature and purpose of the Processing The nature of the Processing is the Processing of University employee Personal Data for the purposes of providing payroll services to the University as the Controller of the Personal Data and making related salary [and other benefits] payments to the University employees.
